このワークショップは、米国、英国、日本、およびその他の国における企業犯罪、コーポレートガバナンスやコンプライアンスに関する諸問題について、現役の当局担当者、実務家と研究者が垣根を越えて議論するグローバルなプラットフォームです。

具体的には、企業犯罪の執行状況に関連する世界的動向、人工知能などの最先端テクノロジーを対象とするガバナンス、テクノロジーを活用した新たなガバナンス手法、内部通報制度を含むコンプライアンスプログラムの実効性や、データプライバシーと社内調査、組織風土といったトピックを取り上げます。

Session 1: White-Collar Enforcement Trends
Department of Justice (DOJ)の現役担当官や執行方針に詳しい研究者・この分野の最先端で活躍する実務家を交えて、企業犯罪執行のトレンドと展望、や最近のガイダンスやそのインパクト、重要論点等について議論します。

Session 2: The New Economic Crime & Corporate Transparency Act in the UK
英国のEconomic Crime and Corporate Transparency Act 2023 (ECCTA)について、立法に携わってきた貴族院議員や元Serious Fraud Office (SFO)長官、経験豊富な英国弁護士を招いて、同一性原則の修正やFailure to Prevent Fraudの対象犯罪の拡大を含む、同法に関連する重要論点や同法のインパクトについて議論します。

Session 3: Challenges around Whistleblowing System
Commodity Futures Trading Commission (CFTC)のWhistleblowing Officeの現役担当官や元Security and Exchange Commission (SEC)のChief of the Office of the Whistleblower、データを活用したコンプライアンス・プログラムの研究者等を交えて、報奨金付通報制度の有効性や内部通報制度を実効的に運用する上での課題等について議論します。

Session 4: Financial Incentives in Compliance Program
DOJの現役担当官や経済学者、この分野に詳しい実務家を交えて、コンプライアンスに関するFinancial Incentivesの有効性、DOJのClawback Pilot Policy及び改訂されたEvaluation of Corporate Compliance Programsに対する実務的な対応状況や、最近の執行事案における取扱等について議論します。

Session 5: Middle Managers’ Role in Culture of Compliance
Ethicsに特化したコンサルタント、インハウス弁護士や企業犯罪に詳しい研究者等を交えて、コンプライアンス・カルチャーを醸成する上での中間管理職層の役割の重要性やその理論的根拠、健全な組織風土を醸成するための具体的な施策等について議論します。

Session 6: National Security and Economic Statecraft
経済安全保障やその関連法制に詳しい実務家、企業担当者や関連リスク管理ツールを提供する専門家等を交えて、経済安全保障推進法の運用状況、セキュリティクリアランス制度、データガバナンスの在り方、米国におけるSanction分野の執行状況等について議論します。

This workshop aims to provide a global platform to discuss corporate governance and compliance-related issues faced by companies worldwide. Topics of interest to both practitioners and academics in the US, UK, Japan and other countries will be covered, including but not limited to global enforcement trends about corporate crimes; the governance of advanced technology such as artificial intelligence (“AI”); the effectiveness of corporate compliance programs, including whistleblowing systems; and data privacy; internal investigations; and corporate culture.
